1. Acceptance of Terms

Welcome to BuildScribe ("Service," "we," "our," or "us"). By accessing or using the Service, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and BUILDSCRIBE .

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

The Service is intended for business and professional use by builders, tradespeople, and construction professionals.

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorised access to your account
• Accept responsibility for all activities under your account

You may not share your account credentials or allow others to use your account.

4. Description of Service

BuildScribe is a web application designed for builders, tradespeople, and construction professionals. The Service enables you to record, transcribe, and organise voice notes and project information related to construction and building work, using artificial intelligence to assist with transcription and summarisation. Features and functionality may be added, modified, or removed over time.

4.1 Service Modifications

We may modify or update the Service to improve functionality, security, or performance. For changes that do not materially affect core functionality, no advance notice is required. For material changes that significantly reduce core functionality, we will provide at least 30 days' advance notice via email. If we discontinue the Service entirely, we will provide at least 45 days' notice and make your data available for export during that period.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal activities or to promote illegal activities
• Upload content that is offensive, obscene, defamatory, harassing, or harmful
• Upload content unrelated to building, construction, or associated business activities
• Abuse, spam, or overload the Service infrastructure
• Attempt to circumvent usage limits or storage restrictions
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to access or scrape the Service without permission
• Impersonate another person or misrepresent your affiliation
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorised access to other users' accounts or data
• Use the Service to store excessive amounts of irrelevant data (e.g., background noise recordings)

Violation of this Acceptable Use Policy may result in immediate termination of your account.

6. User Content

6.1 Ownership

You retain all ownership rights to the content you create, upload, or store using the Service ("User Content"), including voice recordings, transcripts, photos, and project data.

6.2 Licence to Us

By using the Service, you grant us a limited, non-exclusive, royalty-free licence to:

• Store and process your User Content to provide the Service
• Transmit your User Content to third-party AI service providers solely for the purpose of generating transcriptions and summaries on your behalf
• Display your User Content back to you within the Service
• Make backups and copies for redundancy and disaster recovery

We do not use your User Content to train artificial intelligence or machine learning models. This licence exists solely to operate the Service and terminates when you delete your content or account, or upon the expiry of the data export period following account termination (see Section 12.3), whichever is later.

6.3 Responsibility for User Content

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to upload and use your User Content
• Your User Content does not violate any laws or third-party rights
• Your User Content does not contain viruses or malicious code
• If your recordings capture the voice or personal data of other individuals, you have obtained their consent or otherwise have a lawful basis to record them before using the Service

7. Intellectual Property

The Service, including its design, features, functionality, text, graphics, logos, and software, is owned by [BUILDSCRIBE] and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

8. Fees and Payment

8.1 Current Pricing

The Service is currently provided free of charge during our beta period. We reserve the right to introduce paid subscription plans or premium features in the future.

8.2 Future Pricing Changes

If we introduce paid plans, we will provide at least 30 days' advance notice via email. You will not be charged unless you affirmatively select a paid plan. Users who do not wish to subscribe may continue to access their existing data (including viewing recordings, transcripts, summaries, photos, and project information) but may not be able to create new content or access new features. You may export your data and close your account at any time.

9. Service Availability and Warranties

9.1 "As-Is" Basis

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not guarantee that the Service will:

• Be uninterrupted, secure, or error-free
• Meet your specific requirements
• Produce accurate or complete transcriptions
• Be available at all times

9.2 Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

10.1 Non-Excludable Liability

Nothing in these Terms excludes or limits our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded or limited under applicable law, including the Consumer Rights Act 2015

10.2 Exclusion of Indirect Damages

SUBJECT TO SECTION 10.1, [BUILDSCRIBE] AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

This includes, but is not limited to, damages for:

• Lost profits, data, or business opportunities
• Service interruptions or data loss
• Errors or inaccuracies in transcriptions or AI-generated content
• Unauthorised access to your account

10.3 Liability Cap

SUBJECT TO SECTION 10.1, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF £100 GBP OR THE TOTAL FEES PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

11.1 Your Indemnification

You agree to indemnify and hold harmless [BUILDSCRIBE] from claims arising directly from:

• Your User Content infringing a third party's intellectual property rights
• Your use of the Service in violation of these Terms or applicable law

11.2 Our Indemnification

We agree to indemnify and hold harmless you from claims arising directly from:

• Our wilful infringement of a third party's intellectual property rights in providing the Service

12. Account Termination

12.1 Termination by You

You may delete your account at any time through the Service settings. Upon deletion, your data will be retained for 30 days (to allow recovery) and then permanently deleted.

12.2 Termination by Us

We reserve the right to suspend or terminate your account:

• Immediately and without notice for: violation of these Terms, illegal activity, fraudulent behaviour, or where required by law
• With 30 days' notice for any other reason, including at our discretion

12.3 Effect of Termination

Upon termination, your right to use the Service ceases. You will have 30 days from the date of termination to export your data through the Service or by submitting a data portability request to buildscribe.app@outlook.com. After 30 days, your data will be permanently deleted in accordance with our Privacy Policy.

Where your account was terminated for illegal activity, or where providing access to your data is prohibited by law, we may not be able to offer data export.

13. Third-Party Services

The Service relies on third-party providers for infrastructure, AI processing, analytics, and other operational functions. These services are subject to their own terms and privacy policies. We may use analytics data collected through the Service for marketing purposes, subject to your consent where required. See our Privacy Policy for details.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on this page with a new effective date
• Sending an email notification (for significant changes)

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and delete your account.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Dispute Resolution

Before pursuing formal legal action, you agree to contact us at buildscribe.app@outlook.com to attempt to resolve the dispute informally. We commit to working in good faith to resolve any disputes.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including natural disasters, acts of government, internet or telecommunications failures, or utility outages.

19. AI Content Disclaimer

The Service uses artificial intelligence to generate transcriptions and summaries. AI-generated content may contain errors, omissions, or inaccuracies (sometimes referred to as "hallucinations"). You should not rely on AI-generated content for safety-critical decisions, regulatory compliance, contractual obligations, or any purpose where inaccuracy could result in harm, financial loss, or legal liability. This is particularly important in construction and building contexts where safety is paramount. Always verify important information against the original recording or other independent sources.

20. Assignment

We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, provided the assignee agrees to honour these Terms. You may not assign your rights without our prior written consent.

21. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

22. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and [BUILDSCRIBE] regarding the Service and supersede all prior agreements.
